Terms of Service

These Terms of Service ("Terms") govern your access to and use of Kovasign's website, applications, and services (collectively, the "Services"). By using our Services, you agree to these Terms.

Kovasign is a product of Low Latency Labs, the trading name of Quantum Infinity Pte. Ltd. (a company incorporated in Singapore). References to "Kovasign," "we," "us," or "our" in these Terms refer to Quantum Infinity Pte. Ltd. trading as Low Latency Labs, which is the contracting entity for the Services.

If you do not agree to these Terms, do not use our Services.

1. Acceptance of Terms

By creating an account, accessing, or using our Services, you confirm that:

  • You are at least 18 years old
  • You have the legal capacity to enter into these Terms
  • You will comply with these Terms and all applicable laws

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Kovasign provides online tools for electronic signatures and document signing (including Sign with Singpass and delivery of signing requests over WhatsApp), document and template management, PDF processing, invoice generation, NDA generation, and related services. For organisations, Kovasign additionally offers shared team workspaces, enterprise single sign-on (SSO) and automated user provisioning (SCIM), custom-domain and white-label signing, and an optional connector that lets you operate your Kovasign account from a compatible AI assistant.

Some features require an account. Some features are available without an account. We may modify, suspend, or discontinue any part of the Services at any time.

3. Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activity under your account

You must notify us immediately if you suspect unauthorized access to your account.

Teams and Enterprise Accounts

Kovasign lets multiple users share a single workspace. A workspace has one or more administrators (including an owner) and may have additional members. Administrators can invite and remove members, manage the workspace subscription and the number of seats, access documents and other content held within the workspace, and configure workspace settings on behalf of all members. Paid team and Enterprise plans are billed per seat as described on our pricing page and in Section 11.

If you join a workspace created by your employer or organisation, that organisation is responsible for the workspace, and its administrators may access, manage, and remove your account and the content associated with it. If you use a Kovasign account with an email address belonging to an organisation you are affiliated with, that organisation may be able to add your account to its workspace and assume administrative control of it. You are responsible for using the appropriate account for personal versus organisational use.

Enterprise Single Sign-On (SSO) and User Provisioning (SCIM)

Enterprise workspaces may enable single sign-on through the organisation's own identity provider (using OpenID Connect) and automated user provisioning and de-provisioning (using SCIM). Where these are enabled, the organisation's identity provider — not Kovasign — controls who may access the workspace and when accounts are created or deactivated. The organisation is responsible for configuring its identity provider correctly, for the accuracy of the identity information it sends to Kovasign, and for keeping confidential any provisioning tokens or credentials issued for this purpose.

Custom Domains and White-Labelling

Enterprise workspaces may serve signing pages, and send certain communications, from a custom domain and under the organisation's own branding. You represent that you own or are authorised to use any domain name you connect to Kovasign, and you are responsible for maintaining the DNS records required for the domain and its security certificate to function. Kovasign is not responsible for downtime or delivery issues arising from misconfigured or expired domain records outside our control.

4. Acceptable Use

You agree to use the Services only for lawful purposes. You may not:

  • Violate any applicable laws or regulations
  • Infringe intellectual property rights of others
  • Upload or transmit malicious code, viruses, or harmful content
  • Harass, abuse, or harm others
  • Interfere with or disrupt the Services
  • Attempt to gain unauthorized access to systems or data
  • Reverse engineer, decompile, or disassemble the Services
  • Use automated means to access or scrape the Services
  • Use the Services to build a competitive product
  • Use the Services to train artificial intelligence or machine learning models
  • Exceed reasonable use limits or circumvent usage restrictions

We reserve the right to investigate and take appropriate action against violations, including suspension or termination of your account.

5. Electronic Signature Services

Legal Compliance

Our electronic signature services are designed to comply with applicable electronic signature laws, including the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN), the Uniform Electronic Transactions Act (UETA), and the EU Electronic Identification and Trust Services Regulation (eIDAS).

Limitations

Certain types of documents may not be legally signed electronically under applicable law, including but not limited to:

  • Wills, codicils, and testamentary trusts
  • Adoption, divorce, and other family law documents
  • Court orders and notices
  • Cancellation of utility services
  • Documents required to accompany hazardous materials
  • Other documents excluded by applicable law

You are responsible for determining whether electronic signatures are appropriate and legally valid for your specific use case.

Signer Consent

By signing a document electronically through our Services, signers consent to conduct the transaction electronically and to receive documents in electronic form.

Audit Trail

We maintain records of signing activity to help verify the authenticity of signatures. These records may include timestamps, IP addresses, and other verification data.

Paper Copies

You may download and print any document you have signed or sent for signature. If you require us to mail a paper copy, contact support@kovasign.com. Printing and postage fees may apply.

Sign with Singpass

Kovasign offers an optional Sign with Singpass signing method, operated by the Government Technology Agency of Singapore ("GovTech"). Sign with Singpass uses a citizen's government-issued digital certificate to apply a signature to a PDF document.

Sign with Singpass is opt-in on a per-signature-field basis. The sender chooses which signature fields require Singpass authentication; signers choose whether to authenticate with their Singpass app when they encounter such a field. Kovasign cannot apply a Singpass signature without the signer's consent in the Singpass app.

Because Singpass — not Kovasign — applies the signature, the entire PDF document (and its filename) and the requested signature placement are transmitted to Singpass when a signer initiates a Sign with Singpass signature. After the signer approves, Singpass returns the signed PDF together with the signer's name, a partial UINFIN/NRIC, the signing timestamp, and signing certificate metadata, which Kovasign stores as part of the signing audit trail. Further detail on what is shared and retained is set out in our Privacy Policy.

Singpass is a service of the Singapore government and its use is subject to Singpass's own terms and privacy statement, available at www.singpass.gov.sg. If you are a sender located outside Singapore, you are responsible for ensuring that your use of Sign with Singpass — including transferring documents and recipient details to Singpass — is permitted under the laws applicable to you. Kovasign does not control Singpass's availability, identity verification process, or the content of Singpass-issued certificates.

WhatsApp signing notifications

Kovasign offers an optional channel for delivering signing requests via WhatsApp, using the WhatsApp Business Platform (Cloud API) operated by WhatsApp LLC and its affiliates within the Meta Platforms, Inc. group of companies ("Meta"). The WhatsApp channel is opt-in on a per-recipient basis. If a sender does not select WhatsApp for a recipient, no WhatsApp message is sent to that recipient.

Sender obligations. WhatsApp signing notifications are transactional messages sent within an existing business or professional relationship between the sender and the recipient — for example, a lawyer sending a contract to an existing client. Before any WhatsApp signing notification is sent, Kovasign requires the sender to confirm in-product that they are authorised to contact each recipient regarding the document. By selecting the WhatsApp channel and giving that confirmation, the sender represents and warrants that the sender is so authorised, including that: (a) the sender has a lawful basis to contact the recipient at the phone number provided, typically arising from an existing business or professional relationship with the recipient; (b) the recipient would reasonably expect to receive transactional communications from the sender at that number, consistent with WhatsApp's Business Messaging Policy; (c) the sender's use of the WhatsApp channel through Kovasign complies with all laws and regulations applicable to the sender and the recipient, including without limitation Singapore's Personal Data Protection Act, the U.S. Telephone Consumer Protection Act, the EU and UK General Data Protection Regulations, and any other applicable telemarketing, anti-spam, and data protection laws; and (d) the recipient is not a minor where the sender's jurisdiction restricts messaging to minors. The sender is solely responsible for the underlying relationship with the recipient and for any liability arising from a breach of these representations.

Use restrictions. The WhatsApp channel may only be used for transactional signing notifications and related signing communications (including reminders and signing-complete confirmations) sent to recipients of a Kovasign document. The WhatsApp channel may not be used for marketing, promotional content, mass broadcasts, political messaging, or any communication unrelated to a signing request initiated by the sender within Kovasign. Kovasign may suspend or revoke a sender's access to the WhatsApp channel without notice if Kovasign believes, in its sole discretion, that the sender has breached these restrictions, that recipients have reported the sender, that delivery quality has fallen below acceptable thresholds, or that continued use would put Kovasign's WhatsApp Business Account at risk.

WhatsApp's own terms. The WhatsApp Business Platform is a service of Meta and its use is subject to Meta's own terms, including the WhatsApp Business Messaging Policy, the WhatsApp Business Solution Terms, and the WhatsApp Privacy Policy. Kovasign does not control Meta's availability, delivery infrastructure, or the content of Meta's policies, and Kovasign is not responsible for messages delayed, rejected, or rate-limited by Meta. Further detail on what data is shared with Meta when you use the WhatsApp channel is set out in our Privacy Policy.

Recipient opt-out. Recipients may opt out of further WhatsApp signing notifications at any time by replying STOP, UNSUBSCRIBE, or "opt out" to the WhatsApp message they received from Kovasign's business number. Senders agree not to attempt to re-message a recipient who has opted out, whether through Kovasign or otherwise, except as required to complete a signing transaction the recipient has separately requested.

AI Assistant Connector

Kovasign offers an optional connector that lets you operate your Kovasign account from a compatible AI assistant (for example, Anthropic's Claude) using the open Model Context Protocol. The connector is strictly opt-in: it does nothing until you personally connect your account and approve, on Kovasign's consent screen, the specific permissions the assistant may exercise (which may include reading your documents, sending documents for signature, and signing your own signature fields). You may grant read-only access, and you may revoke the connection at any time from your account settings, after which the assistant's access ends immediately.

Actions you ask a connected assistant to take through the connector are treated as your own actions and are subject to these Terms, including Section 4 (Acceptable Use) and the signing obligations described above. Sending a legally binding document for signature, or applying your signature, always requires your explicit confirmation before it occurs. You are responsible for reviewing what a connected assistant proposes and for the consequences of the actions you confirm. When you use the connector, the results of the actions you request are returned to your chosen assistant and become part of your conversation with it, which is governed by that assistant provider's own terms and privacy policy. Kovasign does not control, and is not responsible for, the assistant or its provider. Further detail on data handling for the connector is set out in our Connector Privacy & Data Handling page.

6. PDF Tools

Our PDF tools allow you to merge, compress, convert, and process PDF files.

Files processed through our PDF tools are temporary and are deleted after processing. You are responsible for downloading your processed files promptly.

7. Invoice and NDA Generators

Not Legal or Professional Advice

Kovasign is not a law firm, accounting firm, or professional services firm. Our Services do not constitute legal, tax, financial, or professional advice. No attorney-client, accountant-client, or other professional relationship is created by using our Services.

Documents generated through our Services are templates and starting points. You are solely responsible for reviewing, customizing, and verifying all content before use.

We strongly recommend consulting qualified professionals (attorneys, accountants, or other advisors) before using any generated documents for legal or business purposes.

Your Responsibility

You are solely responsible for:

  • The accuracy and completeness of information you provide
  • Reviewing all generated content before use
  • Ensuring documents are appropriate for your jurisdiction and situation
  • Obtaining professional advice when needed
  • Any consequences arising from your use of generated documents

8. User Content

Your Ownership

You retain ownership of all content you upload, create, or share through the Services ("User Content").

License to Kovasign

By using the Services, you grant us a limited, non-exclusive license to store, process, display, and transmit your User Content solely to provide the Services. This license ends when you delete your content or close your account, except as needed for backups, legal compliance, or as otherwise described in these Terms.

Your Representations

You represent that you have all necessary rights to your User Content and that your content does not violate any laws or infringe any third-party rights.

Prohibited Content

You may not upload content that is illegal, infringing, defamatory, obscene, harmful, or that violates these Terms.

9. Intellectual Property

Kovasign Property

The Services, including software, design, logos, and content (excluding User Content), are owned by Kovasign and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our permission.

Feedback

If you provide feedback, suggestions, or ideas about our Services, we may use them without compensation or obligation to you.

Aggregated Data

We may create anonymized, aggregated data from your use of the Services. Such data does not identify you and may be used for any purpose.

10. Free Services

Certain features are available free of charge and may be subject to usage limitations. Free services are provided without warranty and may be modified or discontinued at any time.

11. Paid Services and Billing

Subscriptions

Paid subscriptions provide access to additional features as described on our pricing page. Subscriptions automatically renew at the end of each billing period unless canceled. Team and Enterprise plans are billed per seat, and Enterprise plans are subject to a minimum number of seats as shown at checkout.

WhatsApp Message Credits

Delivering signing notifications over WhatsApp draws on WhatsApp message credits. Paid plans include a monthly allowance of credits, which resets at the start of each month and does not carry over. You may also purchase additional credits in prepaid packs.

Purchased credit packs are a one-time purchase, not a subscription, and do not auto-renew. Purchased credits remain valid for three (3) years from the date of purchase, after which any unused purchased credits expire. Each signing notification, reminder, and signing-complete confirmation sent over WhatsApp consumes one credit, including messages sent within WhatsApp's free service window. Except where required by applicable law, payments for credit packs are non-refundable. We may change the size, price, or included monthly allowance of message credits with reasonable notice; any such change does not affect credits you have already purchased.

Payment

By subscribing, you authorize us to charge your payment method for the subscription fee and any applicable taxes. You are responsible for providing accurate payment information.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access until then.

Refunds

Refunds are provided at our discretion. Contact support@kovasign.com for refund inquiries.

Price Changes

We may change subscription prices with reasonable notice. Price changes take effect at your next renewal. If you do not agree to a price change, you may cancel before it takes effect.

Non-Payment

If payment fails, we may suspend or terminate your access to paid features.

Taxes

Prices may not include applicable taxes. You are responsible for any taxes associated with your use of the Services.

12. Third-Party Services

Our Services integrate with, or link to, third-party services in order to function. These include, among others, our payment processor (Stripe), our cloud database and authentication provider (Supabase), Sign with Singpass (GovTech), the WhatsApp Business Platform (Meta), Google (including optional import of documents from Google Drive), and AI assistant providers you choose to connect (such as Anthropic). Where you choose to import a document from a third-party service such as Google Drive, you authorise us to access that document on your behalf for that purpose. We are not responsible for third-party services, and their use is subject to their own terms and privacy policies. The third parties that process personal data on our behalf are described in our Privacy Policy.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or completeness of content
  • Uninterrupted or error-free operation
  • Security or freedom from viruses

We do not warrant that the Services will meet your requirements or that any errors will be corrected.

We implement security measures but cannot guarantee absolute protection against unauthorized access or data breaches.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOVASIGN SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from your use or inability to use the Services
  • Damages arising from unauthorized access to your account or data
  • Damages arising from third-party conduct or content

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES IS LIMITED TO THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Kovasign and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your use of documents generated through our Services

16. Termination

By You

You may stop using the Services and close your account at any time.

By Us

We may suspend or terminate your access to the Services at our discretion, including for:

  • Violation of these Terms
  • Non-payment
  • Illegal or harmful activity
  • Extended periods of inactivity
  • Any other reason at our discretion

Effect of Termination

Upon termination:

  • Your right to use the Services ends immediately
  • You may export your data before termination
  • We may delete your data after termination

Certain provisions of these Terms survive termination, including intellectual property rights, disclaimers, limitations of liability, and indemnification.

17. Dispute Resolution

Informal Resolution

Before filing any legal claim, please contact us at support@kovasign.com to attempt to resolve the dispute informally.

Governing Law

These Terms are governed by the laws of Singapore, without regard to conflict of law principles.

Jurisdiction

Any disputes arising from these Terms or the Services shall be resolved in the courts of Singapore, and you consent to the jurisdiction of such courts.

18. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Kovasign.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

Assignment

You may not assign these Terms without our consent. We may assign these Terms without restriction.

Notices

We may send notices via email or through the Services. Notices to us should be sent to legal@kovasign.com.

Modifications

We may modify these Terms at any time. Changes will be posted on our website with an updated revision date. Your continued use of the Services after changes constitutes acceptance.
